Terms of Service
These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "Customer") and Opora Supply LLC, a Georgia limited liability company ("Opora," "we," "us," or "our"), governing your access to and use of www.oporasupply.com, the Opora Field Guide, the Opora AI tools suite, our online store, downloadable resources, and any related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility and intended audience
The Services are intended for commercial, industrial, institutional, and other business or professional buyers of cleaning and facility-maintenance supplies, and for facility managers, building service contractors (BSCs), procurement professionals, safety personnel, and similar practitioners. By using the Services, you represent that:
- You are at least 18 years old and have the legal authority to enter into these Terms
- If using the Services on behalf of an organization, you have authority to bind that organization
- You will use the Services in compliance with all applicable laws, regulations, and industry standards
2. Account registration
You may browse the Services without an account, but certain features require account registration. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your credentials confidential and notify Opora immediately of any unauthorized use
- Accept responsibility for all activities under your account
Opora collects only the minimum information needed to operate your account: email address and, optionally, a first name for personalization. We do not require phone numbers, dates of birth, home addresses, or financial information for account creation.
3. Orders, pricing, and payment
3.1 Order acceptance
Your placement of an order constitutes an offer to purchase. Opora reserves the right to accept or decline any order for any reason, including inventory limitations, pricing errors, suspected fraud, or inability to ship to your location. No contract is formed until Opora confirms shipment.
3.2 Pricing
Prices are listed in U.S. dollars and subject to change without notice. Opora makes commercially reasonable efforts to display accurate pricing but is not bound by pricing errors or typographical mistakes.
3.3 Taxes
Prices exclude sales, use, excise, or similar taxes unless specifically stated. You are responsible for all applicable taxes in your jurisdiction.
3.4 Payment
Payment is due at the time of order unless other terms have been agreed in writing. You represent that you are authorized to use the payment method you provide.
3.5 Net terms accounts
Net-terms accounts (e.g., Net 30) are available only by separate written agreement and creditworthiness review. Late payments accrue interest at the lesser of 1.5% per month or the maximum rate permitted by Georgia law.
4. Shipping, delivery, and risk of loss
Shipping methods, costs, and estimated delivery times are displayed at checkout. Estimated delivery times are not guaranteed. Title and risk of loss pass to you upon delivery to the carrier (FOB Opora's shipping point), unless otherwise agreed in writing. You are responsible for inspecting all shipments upon receipt and reporting damage, shortage, or loss to the carrier and to Opora within five (5) business days.
5. Returns and refunds
Return eligibility, procedures, and timelines are described on our Returns & Refunds page, incorporated into these Terms by reference. Certain products — including opened chemicals, custom-blended products, hazardous materials, and clearance items — may be non-returnable.
6. Hazardous materials and regulated products
Some products are classified as hazardous materials under DOT regulations (49 CFR), as pesticides or antimicrobials under FIFRA (40 CFR), or as otherwise regulated. By ordering such products, you represent and warrant that you will:
- Receive, store, handle, apply, and dispose of products per the manufacturer's label, SDS, and all applicable regulations
- Provide personnel with training and PPE as required under 29 CFR 1910.1200 and related standards
- Not resell or redistribute regulated products in violation of applicable law
- Hold all licenses, permits, and certifications required by your jurisdiction
7. Educational content and the Opora Field Guide
The Opora Field Guide and all other educational content — including articles, guides, PDFs, checklists, calculators, and AI-generated outputs — is provided for general informational and educational purposes only. It is not professional consulting, legal, medical, engineering, or regulatory advice. Verify all information against current SDSs, labels, regulations, and qualified professional advice before acting.
8. Intellectual property
All Services and Content are owned by Opora Supply LLC or its licensors and are protected by U.S. and international intellectual-property laws. Opora grants you a limited, non-exclusive, non-transferable, revocable license to access the Services and use Content for internal, non-commercial operational use within your organization. You may not reproduce, sell, or redistribute Content for commercial purposes.
9. User submissions and feedback
If you submit feedback, suggestions, or error corrections to Opora, you grant Opora a perpetual, royalty-free license to use that Feedback for any purpose. You represent that Feedback does not violate any third-party right.
10. Prohibited uses
You may not use the Services to violate any applicable law; transmit malicious code; attempt unauthorized access; interfere with the Services; impersonate any person; impose unreasonable infrastructure load; or resell the Services without written permission.
11. Third-party services and links
The Services may integrate with third-party services (payment processors, shipping carriers, analytics, AI providers). Opora does not control these third parties and is not responsible for their content, accuracy, or practices.
12. Disclaimer of warranties
THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. OPORA DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some jurisdictions do not allow certain warranty exclusions; portions of this section may not apply to you.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OPORA SUPPLY LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE SERVICES OR THESE TERMS. OPORA'S AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID OPORA IN THE PRECEDING 12 MONTHS, OR (B) $100.00 USD.
14. Indemnification
You agree to defend and hold harmless Opora Supply LLC and its affiliates from any claims, losses, and expenses (including attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; (d) your violation of applicable law; or (e) any product purchased through the Services and how it was used.
15. Termination
Opora Supply may suspend or terminate your access at any time, with or without cause and with or without notice, for violation of these Terms. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination shall survive.
16. Governing law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.
17. Dispute resolution; class-action waiver
17.1 Informal resolution
Before any formal proceeding, you agree to first contact Opora at [email protected] to attempt good-faith resolution for at least 30 days.
17.2 Venue
Any unresolved action shall be brought exclusively in state or federal courts in the State of Georgia. You consent to personal jurisdiction there.
17.3 Class-action waiver
YOU AND OPORA EACH AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS. CLASS ACTIONS AND REPRESENTATIVE ACTIONS ARE NOT PERMITTED.
17.4 Time limit
Any claim must be brought within one (1) year after the cause of action accrues, or it is permanently barred.
18. Force majeure
Opora Supply is not liable for delay or failure caused by events beyond its reasonable control, including acts of God, pandemic, government action, cyberattacks, internet outages, or supplier failures.
19. Changes to these Terms
Opora Supply may modify these Terms at any time by posting the updated version on the website. The "Last updated" date reflects the most recent revision. Continued use after posting constitutes acceptance. For material changes, Opora will make reasonable efforts to notify you by email or website banner.
20. Miscellaneous
20.1 Entire agreement. These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement regarding the Services and supersede all prior understandings.
20.2 Severability. If any provision is found unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions remain in full force.
20.3 No waiver. Opora's failure to enforce any provision is not a waiver.
20.4 Assignment. You may not assign these Terms without Opora's prior written consent. Opora Supply may assign in connection with a merger or acquisition.
20.5 No agency. Nothing in these Terms creates an agency, partnership, or employment relationship.
21. Sensitive data & AI tools
Opora Supply provides a suite of AI-powered tools for cleaning industry operators ("AI Tools"), including the Bid Drafter, RFP Decoder, Handbook Drafter, and others. This section governs your use of those tools and the data you submit to them.
21.1 What Opora Supply is not
Opora Supply is NOT a HIPAA Business Associate. Opora does not provide services involving Protected Health Information (PHI) as defined under HIPAA/HITECH. Opora cannot sign a Business Associate Agreement and does not provide HIPAA-compliant data handling. Do not submit PHI of any kind.
Opora Supply is NOT a GLBA-regulated financial data processor. Opora Supply is not a financial institution and is not subject to GLBA. Do not submit bank account numbers, routing numbers, credit card numbers, or other regulated financial identifiers.
21.2 Prohibited input categories
You must not submit any of the following to Opora AI Tools:
- Social Security Numbers (SSNs) — or equivalent national identification numbers from any country
- Financial account data — bank account numbers, routing numbers, credit/debit card numbers, ACH/DDA identifiers
- Protected Health Information (PHI) — medical record numbers, patient identifiers, diagnosis codes paired with names, NPI numbers
- Government-issued ID numbers — driver's license numbers, passport numbers
- Dates of birth combined with names
- Bulk personal contact data — lists of 5 or more personal email addresses or phone numbers
Submitting any of the above violates these Terms. The Opora API automatically detects and rejects requests containing these data types with a 400 PII_DETECTED error before any data reaches an AI model or is logged. The error response identifies which category triggered the rejection.
If you receive a PII_DETECTED error, remove the sensitive data from your input and resubmit. Most RFPs, bid documents, and handbook drafts do not require this information — Opora tools are designed to work without it.

21.4 What we store — and what we don't
When you save an AI tool output to your library:
- We store the LLM-generated output (proposal text, analysis, recommendations, citations) in encrypted cloud storage
- We store limited structured metadata such as: state, vertical (commercial/residential), square footage, and tool type — never free-text inputs
- We never store raw user inputs — the RFP text, bid notes, handbook prompts, or other free-text you typed into a tool form
- We never store any data in the prohibited categories above, even if it somehow reaches storage
21.5 AI model training
Opora does not use your inputs to train AI models. All LLM API calls use store: false (OpenAI) and equivalent opt-out flags with every AI provider. Your inputs are not used to improve, fine-tune, or train any AI model — by Opora or any AI provider.
21.6 Your privacy rights
- ✓ Right to delete: Delete your account anytime from Account Settings. All saved artifacts are permanently purged within 24 hours.
- ✓ Right to export: Download all your saved artifacts and calculator results as JSON from Account Settings.
- ✓ No data sales: We do not sell your data or share it with third parties for marketing purposes.
- ✓ CCPA compliance: California residents may exercise rights under the CCPA by contacting [email protected].
